Agreement to Terms
By accessing or using Prism K12, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.
Use License
Permission is granted to temporarily use Prism K12 for personal or organizational use. This is the grant of a license, not a transfer of title, and under this license you may not:
- Modify or copy the materials
- Use the materials for any commercial purpose without authorization
- Attempt to reverse engineer any software contained in the platform
- Remove any copyright or other proprietary notations
User Accounts
You are responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account.
Billing and Payments
Payment methods. We accept card and other payment methods we make available. Payments are processed by Stripe. We do not store your full card number on our systems.
Recurring billing. Subscriptions renew automatically. You are billed monthly. Usage-based components (e.g., number of service providers and students) are metered and billed at the end of each billing period in accordance with the pricing in effect at that time.
Pricing and currency. Prices are in USD unless otherwise stated. We may change prices by giving at least 30 days’ written notice. A price change never takes effect during a billing period already in progress, and continued use of the platform is not, by itself, treated as acceptance of the new price. If you do not want to accept a change, you may cancel before it takes effect, and the prior price continues to apply until your subscription ends. Where a school district or other organization has a separate written agreement with us that addresses price changes — including a Massachusetts Student Privacy Alliance agreement or an equivalent instrument — that agreement’s terms control over this paragraph for that agreement’s scope.
Failed payments. If a payment fails, we may retry. We may suspend access until the payment method is updated. You are responsible for keeping your payment method valid and up to date.
Cancellation. You may cancel your subscription at any time from the Subscription page (or as otherwise described in the product). Upon cancellation, you retain access until the end of the current billing period. We do not refund fees for the current period unless stated in our Refund Policy or required by law.
Refunds. Refunds are governed by our Refund Policy.
Disputes and chargebacks. If you have a billing concern, please contact us before initiating a chargeback with your bank or card issuer. We may suspend or terminate accounts that abuse the chargeback process.
Data and Privacy
You retain ownership of all data you submit to the platform. We will handle your data in accordance with our Privacy Policy and applicable data protection laws, including FERPA and COPPA where applicable.
Limitation of Liability
Except as set out below, our total liability arising out of or relating to your use of the platform will not exceed the amount you paid us in the twelve (12) months before the event giving rise to the claim, and neither party is liable for indirect, incidental, consequential or punitive damages, or for lost profits or revenue.
Carve-outs — this limit does not apply to: a breach of the confidentiality obligations in our Data Processing Addendum; a data breach involving your data caused by our breach of these Terms or the Data Processing Addendum; our gross negligence or wilful misconduct; or any liability that cannot be limited or excluded under applicable law.
Where a school district or other organization has a separate written agreement with us — including a Massachusetts Student Privacy Alliance agreement or an equivalent instrument — governing liability for that district’s student data, that agreement’s terms control over this section for that agreement’s scope, and any provision of this section that such an agreement requires to be deleted is deleted in its entirety for that scope.
Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles, and any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Massachusetts. Any provision purporting to select a different governing law or forum is of no force or effect.
